The Tender Offer Will Be Subject To Customary Conditions, Including That There Be Validly Tendered In The Tender Offer And Not Withdrawn A Considerable Number Of Shares Which Represents At Least A Major Percentage Of The Paper Of Common Stock Then Issued And Outstanding, Excluding From Such Calculation Shares Held By Global's Executive Officials.

NEW YORK, August 03, 2011 -- Global Traffic Network, Inc. GNET +19.71%, a leader in the provision of custom traffic and news stories to radio and television stations outside the U. S. , today confirmed that it has entered into a decisive merger agreement to be acquired by an affiliate of GTCR, LLC ("GTCR"), a leading non-public equity firm.

Under the terms of the agreement, Global stockholders will receive $14.00 in readies for each share of Global's common stock, which represents roughly a 20.0% premium over the closing price on Tuesday, August two, 2011 and a 22.7% premium based on the 60-day volume weighted typical price of $11.41.

The purchase of Worldwide will be completed through a money tender offer for all outstanding shares of Global's common stock that is anticipated to commence directly. The tender offer will be subjected to standard conditions, including that there be validly tendered in the tender offer and not withdrawn several shares which represents at least an overall majority of the paper of common stock then issued and exceptional, excluding from such calculation shares held by Global's executive officers. The transaction is not subject to any financing condition.

The tender offer will be followed by a fusion in which each share of common stock not purchased in the tender offer will be converted into the inherent right to receive $14.00 per share in cash, without interest. Upon completion of the exchange, Worldwide will turn into a private company, controlled by an affiliate of GTCR. The exchange is anticipated to be completed by quarter four of 2011.

World has the right under the merger agreement to solicit competing bids in a period expiring on September thirteen, 2011. Subject to certain requirements of the alliance agreement, Global may negotiate with parties that submit qualifying competing offers in the 1st solicitation period for a period expiring on October 1, 2011.

The tender offer is required to remain till the completion of the solicitation period, and if relevant the subsequent negotiation period. Global's Board has, primarily based on the unanimous recommendation of a Special Committee made up only of independent directors, approved the amalgamation agreement and the transactions contemplated thus.

This price is both a serious premium over the existing trading price and represents a record high for the stock.
